Terms of Service

These Terms govern your use of the HOODI presale platform and any reservation you make through it. By using the platform you accept them.

Not financial advice. Nothing on this page is financial, investment, legal or tax advice, and nothing here is an offer or solicitation to buy any token. Digital assets are volatile and you may lose everything you commit. Read the full Disclaimer before participating.

1. What this platform is

The HOODI presale platform (the “Platform”) is a reservation, payment-tracking and manual-verification interface operated by The NFT Studio (“we”, “us”). It lets you record an intention to purchase HOODI tokens, submit evidence of a payment, and track the outcome.

What the Platform is not. It is not a token smart contract, not an exchange, not a broker, not a custodian, not a wallet, and not an automated distribution system. It holds no private keys and cannot move, hold or recover any funds or tokens. It does not execute blockchain transactions on your behalf.

2. Eligibility

  • You must be at least 18 years old and legally able to enter into a binding contract.
  • You must not be resident in, or a citizen of, any jurisdiction where participating in a token presale is prohibited, or where doing so would require a licence we do not hold.
  • You are solely responsible for determining whether your participation is lawful where you live, and for any tax that arises from it.
  • We may refuse, suspend or cancel participation where we reasonably believe these Terms are breached or applicable law requires it.

3. Reservations are not purchases

A reservation records intent. It does not transfer ownership, and it does not guarantee you will receive tokens. A reservation is a record that you asked to purchase a quantity at a quoted price. Nothing is owed to you, and nothing is held for you, until your payment has been verified.

Allocation is sold on a first-paid basis. Tokens are allocated to payments in the order those payments are verified. If a stage sells out before your payment is verified, your reservation cannot be honoured — regardless of when you reserved. This is deliberate: reserving without paying does not remove tokens from the pool, so buyers who actually pay are not blocked by reservations that never complete.

4. Pricing and stages

The presale runs in four stages with different prices per stage (Stage 1: $0.75 · Stage 2: $1.00 · Stage 3: $2.00 · Stage 4: $2.50). The price that applies to your reservation is the price of the stage active when you submit it, and it is recorded on your reservation. The announced sale start is November 10, 2026.

Stage dates, prices and per-stage allocation caps are configurable by us and may be adjusted. A change applies prospectively and does not alter a price already recorded against your reservation.

The total presale allocation is capped at 1,480,000 HOODI.

5. Payments

  • Payment is made in a supported stablecoin on a supported network, sent from a wallet you control to the address shown by the Platform at the time of payment.
  • You must submit the transaction hash. The Platform verifies the transaction against the network before recording it — it is not accepted on your assertion alone.
  • The amount credited is the amount that actually moved on-chain, decoded for the token's decimals. We cannot credit an amount the network does not show.
  • A payment that does not match the required token, network, recipient or sender will not be accepted.
  • Payments are reviewed manually. A submission is not a completed purchase until it has been verified.

6. No refunds, and the limited support route

Payments are made on-chain and are irreversible. The Platform has no ability to reverse, recall or refund a blockchain transaction.

If a payment is sent that cannot be honoured — for example because the stage sold out before it was verified, or because it was sent in error — the Platform will tell you and direct you to support. Any refund in such a case is made manually by us at our discretion, is not guaranteed, and cannot be effected by the Platform itself. Where a refund is agreed, it will be net of any network fees we incur.

7. Delivery of tokens

HOODI is a BRC-20 token on Bitcoin. Delivery is performed manually by an administrator to the Taproot (bc1p…) address you registered. There is no automatic distribution and no scheduled job: nothing is sent without a human action.

Your address must be correct. Tokens sent to an address you supplied are sent. If you provide an address you do not control, or one belonging to an incompatible wallet, the tokens may be permanently unrecoverable and we cannot retrieve them. Your registered address can be changed only by an administrator.

The announced distribution date is a target, not a contractual deadline. Delays may occur, including as a result of network congestion or wallet/inscription availability. We will publish any change to the announced date on your dashboard.

8. Your account

  • Sign-in is by Google OAuth only. You are responsible for the security of the Google account you use.
  • You must not attempt to access another user's account, reservation or delivery record, or interfere with the Platform's operation, security or rate limits.
  • One person should not operate multiple accounts to circumvent allocation caps or stage limits.
  • We may suspend or terminate access where these Terms are breached, or where required by law.

9. No advice, no warranty

The Platform and everything on it is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free or free of harmful components, or that any quoted price, date or figure will remain unchanged.

We are not your adviser. Nothing on the Platform is financial, investment, legal, accounting or tax advice. See the Disclaimer for the specific risks of participating.

10. Limitation of liability

To the maximum extent permitted by applicable law, The NFT Studio and its contributors, officers, employees and service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, tokens or goodwill, arising out of or relating to your use of the Platform — including where that loss arises from a failed, delayed, misdirected or unrecoverable transfer.

To the same extent, our total aggregate liability to you for all claims relating to the Platform will not exceed the amount you actually paid to us through the Platform in the three months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud, or any statutory consumer right that applies to you.

11. Intellectual property

The Platform's software, design, text and marks belong to us or our licensors. These Terms grant you no rights in them beyond a limited, revocable licence to use the Platform as intended. Nothing in these Terms transfers ownership of any token, or of any intellectual property associated with the HOODI or Hoodinals projects.

12. Changes to these Terms

We may amend these Terms. The current version is always the one published at this address, with its revision date at the top. Material changes will be communicated through the Platform. Continuing to use the Platform after a change means you accept the amended Terms; if you do not accept them, stop using the Platform.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules, and the courts of that jurisdiction have exclusive jurisdiction over any dispute — except that either party may seek relief in any court of competent jurisdiction to protect its intellectual property or prevent misuse of the Platform.

14. Contact

Legal notices should be sent to info@hoodinals.io. For support with a payment, use the Telegram or Discord channels linked from the Platform.
